Terms and Conditions

1. Agreement

• These Terms & Conditions constitute a legally binding agreement between you and Trendor, registered with the Dutch Chamber of Commerce (KVK) under number 42021955.
• By accessing or using Trendor.io or related services ("the Platform"), you confirm that you have read, understood, and agree to be bound by these Terms.
• If you do not agree, you must not use the Platform.
• Users must be 18 years or older.
• These Terms apply to both brands and creators.

2. Platform Definition

• "Trendor": a business-to-business influencer collaboration platform.
• "Creators": individuals or entities offering promotional content in exchange for compensation or product value.
• "Brands": companies posting campaigns, offering products, or initiating collaborations.
• "Campaigns": barter or paid deals facilitated between brands and creators.
• "User Content": any text, media, or material uploaded or shared on the Platform.

3. Access & Account

• Registration is required to post or apply to campaigns.
• You must provide accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of your account credentials.
• Unauthorized access, sharing, or resale of accounts is strictly prohibited.
• Trendor reserves the right to suspend or terminate accounts for policy violations or non-payment.

4. Services

• Trendor enables discovery, messaging, and collaboration between brands and creators.
• Services include campaign listings, creator search, messaging, analytics, and subscription management.
• Trendor does not participate in payments between users. Brands pay creators directly.
• Trendor acts only as a neutral intermediary providing tools to facilitate communication and discovery.
• Trendor does not guarantee campaign results or enforce agreements between brands and creators.

Any agreement between a brand and a creator is formed directly between those parties. Trendor is not a party to such agreements.

5. Fees & Subscriptions

• Brands may access the Platform under free or paid plans.
• Subscription fees are billed monthly or yearly via Stripe or other designated processors.
• Late or failed payments may result in suspension of access.
• Refunds are issued only for extended service interruptions exceeding 48 consecutive hours.
• A free trial may be offered under specified conditions.

6. User Obligations

• Users must comply with all applicable laws, including the Stichting Reclame Code (NL) and equivalent advertising standards in their jurisdiction.
• Users may not post or transmit:

• misleading, defamatory, or discriminatory content;
• spam or unsolicited messages;
• unlawful or infringing material.

• Brands are solely responsible for ensuring their campaigns comply with advertising, endorsement, and intellectual property laws.
• Creators are responsible for ensuring that their promotional content meets platform and legal standards.

7. Content Ownership & Licensing

• Users retain full ownership of their uploaded content.
• By uploading content, you grant Trendor a non-exclusive, worldwide, royalty-free license to use, display, and reproduce such content for:

• platform functionality (e.g., previews, search results),
• internal analytics,
• marketing and promotional use (e.g., showcasing campaign examples),

unless you opt out in writing.

• Brands must secure the necessary rights to reuse creator content beyond the Platform.

8. Payments

• Trendor does not process or mediate payments between brands and creators.
• Brands are responsible for paying creators directly, outside the Platform.
• Trendor collects only subscription fees from brands for platform access.
• Trendor bears no responsibility for payment disputes, non-performance, or contract breaches between users.

9. Prohibited Conduct

Users must not:

• scrape, crawl, or reverse-engineer the Platform;
• impersonate others or falsify identity;
• upload malware or harmful content;
• engage in fraudulent, misleading, or abusive conduct;
• post adult, violent, or discriminatory material;
• use the Platform to solicit off-platform payments or violate any applicable laws.

10. Intellectual Property

• All code, design, and trademarks on Trendor.io are the intellectual property of Trendor.
• Users may not copy, modify, or redistribute Platform materials without written consent.
• Any permitted use of Trendor's logo or brand assets requires prior authorization.

11. Data Protection & Privacy

• Governed by Trendor's Privacy Policy, available at https://trendor.io/privacy.
• Trendor generally acts as an independent data controller in relation to the operation of the Platform. In limited cases, Trendor may act as a processor where expressly agreed under a separate data processing agreement.
• Users are independently responsible for lawful data processing of personal data obtained via collaborations.

12. Limitation of Liability

• The Platform is provided "as is" and without warranties.
• Trendor is not responsible for:

• success or outcome of campaigns,
• payment failures between users,
• downtime from third-party providers,
• loss of profits, goodwill, or data.

• Trendor's total liability to any user shall not exceed the subscription fees paid in the preceding 3 months.

13. Termination

• Users may delete their accounts at any time.
• Trendor may suspend or terminate access for violation, non-payment, or inactivity.
• Existing campaign obligations between brands and creators remain enforceable between those parties.
• Data may be retained for legal compliance before permanent deletion.

14. Dispute Resolution

• These Terms are governed by Dutch law.
• The courts of Amsterdam, The Netherlands have exclusive jurisdiction.
• Disputes shall first be resolved through informal negotiation before escalation to court or arbitration.

These Terms are drafted in English. If translated into another language, the English version controls.

15. Indemnification

You agree to indemnify and hold Trendor, its directors, employees, and affiliates harmless from any claim, damage, or expense arising from:

• your misuse of the Platform,
• breach of these Terms, or
• violation of third-party rights (including intellectual property).

17. Disclaimer

Trendor facilitates introductions between brands and creators but does not mediate, verify, or guarantee campaign performance, payments, or outcomes.

All collaborations occur solely at the risk and discretion of the involved parties.

18. Platform Suspension Rights

Trendor may restrict, suspend, or terminate access immediately if:

• fraudulent or illegal activity is suspected,
• user actions endanger Platform security, or
• compliance investigations are ongoing.

19. User Representations & Warranties

By using Trendor, you represent and warrant that:

• You are at least 18 years old and legally competent to enter this Agreement.
• All provided information is accurate and up to date.
• You will comply with all applicable laws and third-party platform terms.
• You are not prohibited from using our services under any applicable law.

20. Miscellaneous

• No Waiver: Failure to enforce any right does not constitute a waiver.
• Severability: If any provision is deemed unenforceable, the remaining terms remain in full effect.
• Entire Agreement: These Terms constitute the complete agreement between you and Trendor regarding your use of the Platform.
• Assignment: Trendor may assign these Terms without notice; users may not.
